1. Definition and explanation

 
 
Terminology definition
platform Refers to the official website of LinkSell Europe (domain name:linksell.org) and related mobile applications.
LinkSell Europe
refers to LinkSell Europe B.V. (company registered in Amsterdam, Netherlands), and in these terms is also referred to as "we" or "Platform Party". user refers to any natural person, legal entity, or other organization accessing or using this platform. merchant refers to users who register on the platform, complete onboarding review, and open stores on the platform to engage in product sales. consumer refers to the end users who purchase products through stores opened by merchants on the platform. service refers to all functions and services provided by the platform, including but not limited to store management, product listing, order processing, payment settlement, etc. content refers to any information posted by users on the platform, including but not limited to product details, images, descriptions, reviews, etc.

2. Acceptance of the terms

2.1 protocol constitutes。 These Terms of Use ("Terms") constitute the relationship between you and LinkSell Europe B.V. ("LinkSell Europe," "we," or the "Platform Party") regarding your access to and use of the LinkSell Europe Platform Services ("Services") ) is a legally binding agreement .

2.2 acceptance method. By doing so, you indicate that you have fully read, understood, and agreed to be bound by these terms :

  • Click "I agree" or a similar button to complete the registration process;

  • access or use of this platform services in any way.

2.3 clause change. We reserve the right to modify or update these terms at any time. If there are any major changes, we will notify you in advance via platform announcements or email 30 days. If you do not agree to the revised terms, you should stop using the service.

2.4 printable version. A printable version of these terms is provided. It is recommended that you save or print it for reference.

3. User Account

3.1 registration requirements. You must meet the following conditions to register an account:

  • 18 years old;

  • possesses full civil capacity as required by the laws of your jurisdiction;

  • The registration information provided is true, accurate, and complete.

3.2 Account Security. You are responsible for keeping your account and password confidential. Any operation conducted through your account is considered your own action. If you discover that your account has been used without authorization, you should immediately notify us .

3.3 Account information. You are obligated to update your account information promptly to ensure it is always true, accurate, and complete. You may not transfer, sell, or allow others to use .

3.4 account terminated. We reserve the right to suspend or terminate your account if you violate these terms or applicable law .

4. Platform usage rules

4.1 legally used. You commit to using the platform solely for lawful purposes and to comply with all applicable laws and regulations, including but not limited to:

  • EU General Data Protection Regulation (GDPR);

  • EU General Product Safety Regulation (GPSR);

  • Dutch and EU consumer protection regulations.

4.2 prohibited behavior. You must not use the platform to engage in the following behaviors:

  • publish false, fraudulent, or misleading information;

  • infringes on others' intellectual property rights, privacy rights, or other lawful rights;

  • spread malware, viruses, or carry out any cyberattacks;

  • to engage in fake orders, fake transactions, or other fraudulent activities;

  • publish defamatory, obscene, threatening, or other illegal content;

  • Collect or use information from other users without authorization.

4.3 Content Responsibility. You bear full responsibility for all content published on the platform. We have the right (but not obligation) to review, edit, or delete any content that violates these terms or applicable laws .

4.4intellectual property. All content on the Platform (including but not limited to text, images, logos, software, designs) is protected by copyright, trademark and other intellectual property laws. You may not copy, modify, distribute or create derivative works without our written consent.

5. Merchant’s Special Terms

5.1Merchants settle in. Merchants must submit applications for settlement through the platform and pass the review. We reserve the right to reject any ineligible application without giving a reason.

5.2Products on shelves. Merchants can only select products from the platform’s official product library and put them on shelves in their own stores, and are not allowed to sell products outside the platform’s product library.

5.3Product information. Merchants should ensure that all product information in the store (including but not limited to pictures, descriptions, prices) is true, accurate, legal, and meets the requirements of the European Union's General Product Safety Regulation (GPSR).

5.4price setting. Merchants can set their own product sales prices within the platform's recommended retail price range.

5.5Pre-recharge obligations. After the consumer places an order, the merchant mustWithin 48 hoursComplete pre-recharge to the platform account (amount = product cost + shipping fee). If the amount is not recharged within the due date, the order will be automatically canceled.

5.6customer service. Merchants should handle consumers’ pre-sales inquiries in a timely manner, and the platform recommends that the response time should not exceed12 hours.

5.7Prohibited behavior. Merchants are not allowed to engage in illegal activities such as false transactions, fraudulent orders, malicious competition, etc..

6. Special Terms for Consumers

6.1Order and payment. When a consumer places an order at a merchant's store, it constitutes an offer to purchase. Once the merchant confirms the order, the contract is established.

6.2Prices and taxes. Product prices are subject to the page displayed when consumers place orders. Cross-border transactions may involve additional charges such as customs duties, value-added tax, etc., which are borne by the consumer (if any).

6.3consumer rights. Under EU consumer protection regulations, consumers are entitled to14 days no reason return right. The specific return conditions are subject to the return policy published by the merchant's store.

6.4Consumer Obligations. Consumers should provide true and accurate receipt information and ensure that they can legally receive the purchased goods.

7. Transaction and Payment

7.1transaction process. The platform transaction process is as follows:

  1. Consumers place orders and complete payment at merchant stores;

  2. The merchant receives the order notification in the background;

  3. The merchant pre-recharges the platform account within 48 hours (commodity cost + shipping fee);

  4. After the platform confirms receipt of payment, it arranges delivery from the supplier;

  5. After the consumer confirms receipt of the goods, the transaction is completed;

  6. The platform isWithin 5 working daysSettlement of merchant profits to merchant accounts (SEPA bank transfer supported).

7.2Payment method. The platform supports mainstream European payment methods, including but not limited to:

  • Credit card (Visa, Mastercard)

  • iDEAL (Netherlands)

  • Klarna

  • SEPA bank transfer

7.3Commission standard. Platform commission = consumer payment amount × commission ratio (5%-12%, the specific proportion is determined according to the product category) and will be automatically deducted during settlement.

7.4Refund processing. For returns due to quality problems, the supplier will bear the loss; for returns due to non-quality problems (such as the consumer changing his mind), the relevant costs will be negotiated between the merchant and the consumer. The platform reserves the right to make the final decision on disputed orders.

8. Delivery and Logistics

8.1Delivery time. After receiving the pre-recharge from the merchant, the platform will24-72 hoursArrange delivery within 12 days (the specific time limit is subject to the marking on the product page).

8.2Logistics coverage. Platform logistics network covers the EU27 member countries, the fastest in some areas5 daysDelivered.

8.3Logistics tracking. The platform will provide logistics tracking information to ensure that consumers can check the order status in real time.

8.4force majeure. If shipments are delayed or cannot be performed due to force majeure such as natural disasters, wars, strikes, government actions, etc., the platform will not be liable for breach of contract.

9. Limitation of Liability and Disclaimer

9.1platform role. LinkSell Europe serves as a technology platform that provides deal matching services between merchants and consumers. The platform itself does not hold product inventory and does not make any express or implied guarantees on product quality, performance, and safety..

9.2Limitation of liability. To the fullest extent permitted by law, LinkSell Europe excludes liability for:

  • indirect, incidental or punitive damages;

  • loss of profits, revenue or goodwill;

  • ANY DAMAGES RESULTING FROM THE USE OF OR INABILITY TO USE THE SERVICES.

9.3Disclaimer. Platform services are provided on an "as is" and "as available" basis, and there is no guarantee that the services will be uninterrupted, timely, secure or error-free..

9.4Merchant Responsibility. Merchants bear all legal responsibilities for the goods they sell, including but not limited to product quality, intellectual property rights, consumer protection, etc.

10. Privacy and Data Protection (GDPR)

10.1data controller. LinkSell Europe B.V. is the controller of the personal data of users of this platform and strictly complies with the EU General Data Protection Regulation (GDPR).

10.2Data processing. The purposes for which we collect and process personal data include:

  • Provide and manage platform services;

  • Process orders and payments;

  • customer support and communication;

  • Comply with legal obligations.

10.3User rights. Under the GDPR, you have the following rights:

  • Access, correct, and delete your personal data;

  • Restrict or object to data processing;

  • right to data portability;

  • The right to complain to a supervisory authority.

11. Intellectual property rights

11.1Platform intellectual property. All content, functions, designs and codes of the Platform are owned by LinkSell Europe B.V. or its licensors and are protected by copyright, trademark, patent and other intellectual property laws..

11.2User Content License. By posting content on the Platform, you grant us a non-exclusive, royalty-free, worldwide license to operate, promote and improve the Platform Services.

11.3Infringement complaint. If you believe that the content on the platform infringes upon your intellectual property rights, please contact us vialegal@linkselleurope.comContact us and we will handle it in accordance with the law.

12. Termination

12.1Merchant voluntarily terminates. Merchants can apply to withdraw from the platform at any time, and the platform will process it after verifying that there are no outstanding orders.

12.2Platform termination. If you violate these Terms or applicable laws, we have the right to unilaterally terminate this Agreement and suspend or permanently close your account. Reasons for termination include but are not limited to:

  • Provide false registration information;

  • Selling counterfeit goods or goods that do not meet EU safety standards;

  • Malicious brushing and false transactions;

  • Seriously damage the reputation of the platform or the rights and interests of consumers;

  • Serious violation of GDPR regulations.

12.3Termination effect. After the agreement is terminated, you should immediately stop using the platform services. Transactions that have occurred will continue to be executed in accordance with these terms.

13. Application of law and dispute resolution

13.1Law applies. The formation, validity, interpretation, performance and dispute resolution of these Terms shall applyDutch law.

13.2dispute resolution. Any disputes arising out of or related to these Terms shall first be resolved through friendly negotiation between the two parties; if the negotiation fails, either party may submit toamsterdamFile a lawsuit in a people's court with jurisdiction.

14. Other Terms

14.1Complete Agreement. These Terms constitute the entire agreement between you and us, superseding all previous oral or written communications and agreements.

14.2Divisibility. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3don't give up. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
